  • Negotiated software licensing agreements between an early-stage developer and a multinational media conglomerate

Creditors’ Rights

  • Represented various financial institutions in workout, bankruptcy proceedings, and foreclosure proceedings, including a $20 million condominium project, and an $8 million condominium project
  • Negotiated and documented agreements of sale for a $3.5 million commercial building on behalf of financial investors holding REO property
  • Represented a debtor in a $26 million hotel debt restructuring
  • Successfully defended two secured creditors in state court litigation initiated by contractors claiming unjust enrichment and seeking the imposition of constructive trusts in an amount in excess of $2 million

Elder Law

  • Instituted various guardianship proceedings for payment of fees owed to long-term-care providers
  • Successfully petitioned for orphans in a dispute between a corporate trustee and the grantor of a minor’s trust

Estate Administration 

  • Implemented a cryonic revocable trust
  • Administered a multimillion-dollar estate with real estate located in several states

  • Administered an insolvent estate with a gross in excess of $4 million that included business and real estate interests

Estate Planning and Wealth Preservation

  • Implemented an installment purchase of limited partnership interests by using a sophisticated estate planning tool known as an “Intentionally Defective Grantor Trust” to protect appreciated assets from exposure to excessive federal estate tax
  • Designed and implemented an estate plan for a high net worth real estate developer, including wills, revocable trusts, an irrevocable life insurance trust, charitable bequests, and a long-term succession plan
  • Completed a charitable lead trust for the benefit of a local university, resulting in income and estate tax savings for the donor and a transfer of $1 million to the university

Financial Services

  • As lender’s counsel, structured, drafted, and closed a complex $18 million tax-free construction to permanent loan transaction for a not-for-profit entity
  • Served as lender’s counsel for over $100 million in asset-based credit facilities secured by real estate and other collateral in multiple jurisdictions
  • Represented lender in all aspects of foreclosure, bankruptcy, and possession of $15 million in commercial property
  • Represented a regional bank in the leasehold financing of a multi-building office park in excess of $25,000,000.
  • Represented a local community bank in financing the acquisition of a retail shopping center. The loan, which was over $13,000,000, closed on time despite many hurdles and tight time frames.
  • As lender’s counsel, successfully documented a $17.7 million credit facility relating to a building complex including analysis of dozens of existing leases for compliance with the lender’s underwriting requirements.
  • Drafted and negotiated loan documentation for a Bank for a $38 million loan for the ground acquisition and construction of a 166-unit apartment building.
  • Represented lender in a $3 million loan for acquisition and construction financing of single-family low-income housing in Philadelphia.
  • Served as trustee in the Subchapter V bankruptcy of an international fashion design company and helped facilitate confirmation of a consensual plan of reorganization in that case.
  • Representing the mortgage lenders in the ongoing bankruptcies of two New Jersey shore-area commercial real property owners/managers in connection the lenders’ mortgages securing debt in excess of $5,000,000.00.
  • Representing a large regional lender, negotiated, documented and closed a sophisticated $35 million construction loan to build a luxury hotel in Delaware.
  • Representing a national bank in the work out of an $8 million real estate loan secured by a twelve-acre suburban property and office building and a regional bank in the work-out of a $16 million construction loan secured by a mixed-use development property.

Land Use And Zoning

  • Facilitated a unique partnership between local municipalities and a private developer to improve telecommunication infrastructure construction and development process
  • Successfully secured zoning and land development for an 85-unit age-restricted housing complex in Elkins Park for Federation Housing
  • Represented a synagogue in a landmark federal case with claims based on violations of the Religious Land Use and Institutionalized Persons Act of 2000 (RLUIPA)

Real Estate

  • Represented a regional commercial developer in all aspects of the development of several large shopping center projects and a multitude of free-standing retail properties
  • Represented a charitable organization in the purchase, financing, and zoning of the Elkins Estate, a venerable 42-acre landmark
  • Represented a regional commercial real estate investment partnership in connection with the acquisition and financing of a portfolio of retail drugstore properties
  • Represented landlords in the negotiation of leases and operation and easement agreements with some of the nation’s largest “big box” retailers such as Lowes, Wal-Mart, Best Buy, Barnes & Noble, Sports Authority, and Old Navy
